HOW TO REGISTER SHARES FOR TRADING ON THE TEL AVIV STOCK EXCHANGE (TASE)

All the issued shares of Pilat Technologies International Ltd. can be registered for trading on TASE anytime at the discretion of the shareholder. In order to trade shares on the exchange in Israel, one must first register the shares at a member of the Stock Exchange.

Consequently, the first step is to establish an account with a member of the TASE. The members of the TASE include all the banks in Israel as well as many of the brokers. Each shareholder is free to choose with whom to register his or her shares, if at all.

To facilitate the ability to trade shares held by residents living outside of the state of Israel on TASE, Pilat has reached an agreement with Clal (www.clalfinance.com), the largest financial institution outside the banking system in Israel. Clal has agreed to open brokerage accounts to Pilat's shareholders and will make this process as simple as possible.

The forms needed to open an account with Clal are included on this web site under the titles Account Opening forms (Individual) and Account Opening Forms (Corporate). A Shareholder wishing to so open a brokerage account with Clal needs to download and complete the applicable forms following the set of instructions included in each set of forms.

Upon establishing an acount with a TASE member, the Shareholder will then be able to transfer the shares held by him or her to that account so that these shares become freely tradable on the TASE.

In order to effect the transfer of Shares to the Shareholder's account at the TASE member, the shareholder (or his nominee, if the Shares are held in a nominee account) will need to complete the following form entitled "Transfer of Registration". In the form, the shareholder will need to indicate:

  • the name and address of the shareholders,
  • the amount of shares transferred,
  • the numbers of the Crest account (if held in Crest), and
  • the name and account number of the Israeli bank or broker where the shareholder has an account.

This form should be submitted in duplicate to the Company Registrar at Capita Registrars, The Registry, 34 Beckenham Road, Beckenham, Kent, BR3 4TU.
